At Turps Film, we believe in transparency. These Terms and Conditions are designed to set clear expectations and protect both parties throughout our working relationship. TURPS FILM – TERMS AND CONDITIONS

1. DEFINITIONS

“Client” refers to the individual or organisation engaging Turps Film Limited for services.

“Turps Film” refers to Turps Film Limited, a company registered in England and Wales (Company Number: 13230968), with its registered office at Centre For Advanced Industry, Coble Dene, North Shields NE29 6DE.

“Commencement Fee” refers to the non-refundable upfront payment required to begin the project.

“Deliverables” refers to the final media assets agreed in the project proposal.

2. SCOPE OF SERVICES

Turps Film will provide the services outlined in the agreed quote or proposal. By commissioning us, the Client accepts these Terms and Conditions, unless otherwise agreed in writing.

3. OWNERSHIP & USAGE

3.1. Once full payment is received, the Client will own the final Deliverables.

3.2. This ownership does not extend to raw footage, project files, templates, or working files (e.g., Adobe Premiere or After Effects files), which remain the property of Turps Film unless otherwise agreed.

3.3. Turps Film retains a worldwide, royalty-free licence to use the finished project and raw footage for internal use, portfolio promotion, and award entries unless the Client revokes this in writing before project commencement.

3.4. The Client is responsible for the legal use of Deliverables in all distribution contexts, including paid media. Turps Film cannot be held liable for any claims, costs, or legal action arising from improper use of supplied content.

4. CONFIDENTIALITY

We respect your privacy. Upon written request, we’ll ensure our team signs appropriate NDAs to protect any confidential material shared during the project.

5. WARRANTIES & CLIENT RESPONSIBILITIES

5.1. Turps Film warrants that it has the right to enter into this Agreement and deliver the agreed services.

5.2. Turps Film will obtain the necessary permissions and licences for any materials we supply directly, such as licensed music and voiceover usage, for the intended use, territories, platforms and duration agreed with the Client.

Where the Client supplies, specifies or instructs Turps Film to use particular materials, including but not limited to music tracks, logos, scripts, stock footage, brand assets or third-party content, the Client warrants that it has obtained all necessary rights, permissions and licences for such use. In these cases Turps Film shall not be responsible for obtaining or checking those rights.

The Client is responsible for ensuring that all other rights, permissions and clearances are in place, including contributors, locations and any onward or extended use of the Deliverables beyond what was originally agreed, such as additional platforms, territories or paid media placements. The Client agrees to indemnify Turps Film against any costs, claims or legal actions arising from a breach of this clause or from the Client’s failure to secure the required rights.

5.3. Where we source voiceover talent, actors, locations, or licensed music, the Client will be given a chance to approve selections in advance. Revisions after approval may incur additional charges.

5.4. The Client must ensure all contributors, access permissions, and locations are in place at scheduled times. If unavailable or incomplete, Turps Film reserves the right to reschedule and charge any resulting costs, including crew, travel, and equipment hire.

6. DELIVERY OF MATERIALS

6.1. Final Deliverables will be supplied via a method agreed with the Client (e.g., Vimeo, WeTransfer, USB). Any physical delivery costs are to be covered by the Client unless agreed otherwise.

6.2. Raw footage will normally be kept for 12 months from the shoot date, after which it may be deleted. Clients can request:

£300: Raw footage supplied on a hard drive and sent.

£150/year: Secure storage on Turps Film’s server.

Requests made after deletion or outside these terms may incur admin or handling fees.

6.3. Turps Film will retain final Deliverables for 12 months from project completion unless otherwise agreed in writing. After this period, Deliverables may be permanently deleted unless the Client has opted for paid archiving. Archive extension or retrieval beyond this window may incur additional charges.

7. PAYMENT TERMS

7.1. Invoices are due within 30 days of issue. Late payments may incur interest at 8% above the Bank of England base rate, plus fixed compensation charges in line with the Late Payment of Commercial Debts (Interest) Act 1998.

7.2. A non-refundable Commencement Fee is required following formal quote or purchase order approval. This fee secures Turps Film’s time and resources and is usually set at 50% of the total project value, subject to a minimum of £500.

7.3. If Turps Film proceeds with a project before receiving the Commencement Fee, and the Client subsequently cancels or indefinitely postpones the project, Turps Film reserves the right to invoice retrospectively for the Commencement Fee. Standard late payment terms apply (30 days from invoice). If not settled within 30 days of issue, the invoice will be considered overdue and subject to late payment interest and recovery procedures.

7.4. Unless otherwise agreed in writing, the remaining 50% of the project fee will be invoiced on the final shoot date (or, where there is no shoot, on delivery of the first draft) and is payable within 30 days of the invoice date.

7.5. All fees and charges are exclusive of VAT unless stated otherwise.

8. SIGN-OFF & LATE AMENDS

8.1. The Client must sign off the final Deliverables within 90 calendar days of receiving the first draft.

8.2. Amendments requested beyond this period (without prior agreement) will be charged at £75/hour, subject to availability. If the Client does not provide feedback on rough cuts, storyboards, or other deliverables within 10 business days, Turps Film reserves the right to consider the version approved and move the project forward. Where feedback is received but revisions are delayed due to Turps Film’s scheduling or existing project commitments, we will communicate revised delivery timelines. Such delays shall not be considered a breach of contract or grounds for compensation. If the Client does not provide any feedback within 90 days of receiving the first draft, Turps Film reserves the right to treat the project as completed, invoice any remaining balance, and archive the project in line with section 6.

9. ALTERATIONS & ADDITIONAL USE

9.1. Turps Film will make reasonable rounds of amends as agreed in the original proposal. Significant changes or new content requests will be quoted separately.

9.2. Any unauthorised alterations or adaptations made by third parties may constitute additional usage. Turps Film reserves the right to charge for such usage.

10. CONTINGENCY & WEATHER DAYS

10.1. A contingency day is any scheduled shoot date affected by external factors, such as:

Adverse weather

Illness/absence of essential contributors

Force majeure (strikes, pandemics, etc.)

10.2. Where this applies, Turps Film will quote a not-to-exceed rate for the contingency day. Premium rates apply on weekends/bank holidays.

11. CANCELLATION & POSTPONEMENT: LIVE ACTION

11.1. If the Client postpones a shoot, a new date must be confirmed within 30 days of the original shoot, and take place within 90 days (subject to availability). Failure to do so will result in forfeiture of the Commencement Fee.

11.2. Cancellation fees:

1–5 working days before shoot: 100% of production fee + costs.

6–10 working days: 50% of production fee + costs.

11+ working days: 25% of production fee + costs.

12. CANCELLATION & POSTPONEMENT: ANIMATION/CGI

12.1 If the Client cancels after 50% or more of the agreed production schedule has been completed, 100% of the project fee will be payable.

12.2 If the Client cancels after work has begun but before 50% completion, Turps Film will invoice for the work completed to date, subject to a minimum of 50% of the creative and production fees, plus any costs incurred.

13. INSURANCE

Turps Film holds Public Liability, Employers’ Liability and Professional Liability (Errors and Omissions) insurance. Any additional insurance requirements must be raised before production and may incur extra charges.

14. PUBLICITY

Turps Film reserves the right to publish, share, or promote any content we produce for the Client across our portfolio, website, social media, and marketing materials.

If the Client requires restrictions on the use of such content, this must be agreed in writing prior to the start of the project. In the absence of such an agreement, Turps Film will assume consent has been granted to use the content for promotional purposes.

15. LIABILITY & INDEMNITY

15.1. Turps Film’s liability for any claim arising under this agreement is limited to the total amount paid for the project. Neither party shall be liable for any indirect, special, or consequential losses, including but not limited to loss of profit, data, or opportunity. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

15.2. The Client agrees to indemnify Turps Film against any costs, claims, or legal actions arising from the Client’s failure to secure necessary rights, permissions, or accurate content for inclusion in the Deliverables.

15.3. Neither party shall be liable for failure or delay in performing any obligation under this Agreement if such failure or delay is caused by circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, or severe weather. In such cases, Turps Film will work with the Client to reschedule or adapt delivery plans.

16. PRIVACY

These Terms should be read alongside our Privacy Policy, which outlines how we collect and use personal data.

17. CHANGES TO TERMS

These Terms and Conditions may be updated from time to time. The current version will always be published on our website.
