Terms and Conditions

“Client” means the individual or organisation commissioning Turps Film Limited.

“Turps Film” means Turps Film Limited, a company registered in England and Wales under company number 13230968.

“Commencement Fee” means the upfront payment required to begin the project.

“Deliverables” means the final media assets agreed in the quote, proposal, production agreement or written project scope.

“Project Files” means editable files, working files, raw footage, animation project files, templates, source files and internal production materials.

Turps Film will provide the services set out in the agreed quote, proposal, production agreement or written project scope.

Any work requested outside the agreed scope may require additional time and fees. This may include new deliverables, extra formats, additional language versions, new creative direction, additional shoot days, additional animation scenes or changes to previously approved work.

Once full payment has been received, the Client will own the agreed final Deliverables.

This ownership does not include raw footage, editable project files, templates, source files, animation project files or other working materials, unless otherwise agreed in writing.

Turps Film retains the right to use the finished project, relevant extracts, and behind-the-scenes photography and footage taken during production for internal use, portfolio promotion, showreels, social media, website use, award entries and tender submissions, unless the Client confirms restrictions in writing before the project begins.

Turps Film does not use behind-the-scenes images showing identifiable patients, care home residents or children to promote its work.

The Client is responsible for ensuring that Deliverables are used lawfully in all distribution contexts, including paid media, broadcast, cinema, online, social media and internal use.

Turps Film will treat confidential information shared by the Client as confidential.

Where required, Turps Film will sign a suitable non-disclosure agreement before receiving confidential materials.

Confidentiality restrictions should be confirmed in writing before the project begins, especially where they affect portfolio use, publicity or supplier access.

The Client is responsible for providing all required materials, information, feedback and approvals in a timely manner. This may include brand guidelines, logos and visual assets, scripts, copy, research findings or data, product or service information, approved translations, contributor permissions, location access, feedback from relevant stakeholders, and final sign-off.

Where the Client supplies, specifies or instructs Turps Film to use particular materials, including music, logos, scripts, stock footage, images, brand assets or third-party content, the Client confirms that it has the necessary rights, permissions and licences for that use.

The Client is responsible for approving factual, technical, clinical, legal, regulatory or sector-specific information before final delivery.

Turps Film may source materials such as licensed music, stock footage, stock imagery, voiceover artists, actors, locations, translators or other suppliers where required.

Where Turps Film sources third-party materials, we will obtain licences or permissions for the intended use, territories, platforms and duration agreed with the Client.

Any additional usage, extended licence, broadcast use, paid media use, cinema use, wider advertising use or use outside the agreed scope may require additional clearance or fees.

Where suitable music is available through Turps Film’s existing licensed audio platforms, no additional music licence cost will usually be charged. Additional costs may apply where a specific track, licence or usage is required.

All fees are exclusive of VAT unless stated otherwise. Invoices are payable within 30 days of issue unless otherwise agreed in writing.

A non-refundable Commencement Fee is usually required before work begins. This is normally 50% of the total project value, subject to a minimum of £500, unless otherwise agreed.

Unless otherwise agreed, the remaining project fee will be invoiced on the final shoot date or, where there is no shoot, on delivery of the first draft.

Late payments may incur interest at 8% above the Bank of England base rate, plus fixed compensation charges in line with the Late Payment of Commercial Debts (Interest) Act 1998.

Turps Film reserves the right to pause work or withhold final Deliverables where payment has not been received in line with the agreed payment schedule.

The number of included amendment rounds will be set out in the agreed quote, proposal, production agreement or project scope. Unless otherwise agreed, amendments must remain within the agreed brief, scope, script, storyboard, edit direction or visual direction.

Additional fees may apply for major script changes after approval, new scenes or sequences, new deliverables, additional formats or language versions, new creative direction, changes to previously approved work, late stakeholder feedback, or amendments requested outside the agreed review period.

The Client should provide feedback within the agreed review window. Where no review window has been agreed, feedback should be provided within 10 business days of receiving a draft.

If no feedback is provided within 90 calendar days of receiving the first draft, Turps Film reserves the right to treat the project as completed, invoice any remaining balance and archive the project.

Final Deliverables will be supplied by an agreed delivery method, usually via secure download link. Physical delivery, hard drives or courier costs may be charged separately unless included in the agreed scope.

Final Deliverables will usually be retained by Turps Film for 12 months from project completion unless otherwise agreed. After this period, files may be permanently deleted.

Raw footage and working files will usually be retained for 12 months from the shoot date or project completion date, where applicable. Long-term storage or retrieval may incur additional charges.

Unless otherwise agreed, editable project files and raw footage are not included as final Deliverables.

If the Client postpones a shoot, a new date should be confirmed as soon as possible and will be subject to Turps Film’s availability. Cancellation or postponement fees may apply where crew, suppliers, locations, equipment or production time have been booked.

Unless otherwise agreed, cancellation fees for live action production are: 1–5 working days before shoot – 100% of production fee plus committed costs; 6–10 working days before shoot – 50% of production fee plus committed costs; 11 or more working days before shoot – 25% of production fee plus committed costs.

Committed costs may include crew, freelancers, equipment, locations, travel, accommodation, casting, props, permits and supplier fees.

If the Client cancels after work has begun, Turps Film may invoice for work completed up to the date of cancellation, plus any committed third-party costs.

If 50% or more of the agreed production schedule has been completed, the full project fee may be payable. If less than 50% has been completed, Turps Film may invoice for work completed to date, subject to a minimum of 50% of the creative and production fees, plus any committed costs.

Where a project is paused or postponed for an extended period, timelines, costs and availability may need to be reviewed before work resumes.

A contingency day may be required for production delays caused by factors outside Turps Film’s control, including adverse weather, illness or absence of essential contributors, location issues, strikes, travel disruption, pandemics or other force majeure events. Where a contingency day is required, costs will be agreed separately.

Neither party will be liable for delay or failure to perform obligations caused by circumstances beyond their reasonable control. In such cases, both parties will work together to reschedule or adapt the project where possible.

Turps Film holds Public Liability, Employers’ Liability and Professional Liability insurance. Any additional insurance requirements must be raised before production and may incur additional charges.

Turps Film will handle personal data in line with applicable UK data protection law. Personal data shared with Turps Film will only be used for the purpose of delivering the agreed services unless otherwise agreed. These Terms should be read alongside Turps Film’s Privacy Policy.

Turps Film will carry out services with reasonable care and skill. Turps Film’s liability for any claim arising under these Terms is limited to the total amount paid for the relevant project.

Neither party will be liable for indirect, special or consequential losses, including loss of profit, data, opportunity or reputation.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be limited or excluded.

The Client agrees to indemnify Turps Film against any costs, claims or legal actions arising from the Client’s failure to secure necessary rights, permissions, licences or accurate content for inclusion in the Deliverables.

Any alterations to the final Deliverables after project completion may incur additional fees. Unauthorised alterations, adaptations or re-edits made by third parties are not the responsibility of Turps Film. Additional usage outside the originally agreed scope may require additional licensing, clearance or fees.

No credits will be included in the Deliverables unless specifically requested by the Client or agreed in the project scope.

Either party may terminate a project if the other party breaches a material term and fails to remedy that breach within 14 days of receiving written notice. Upon termination, any outstanding fees for work completed, committed costs and approved expenses up to the date of termination will be payable by the Client.

If a dispute arises, both parties will first attempt to resolve it through discussion and negotiation. Where legal action is required, the prevailing party may be entitled to recover reasonable legal fees and costs, subject to applicable law and any court decision.

The agreed quote, proposal, production agreement, written scope and these Terms represent the agreement between the parties. No verbal agreement will be binding unless confirmed in writing.

These Terms and Conditions may be updated from time to time. The current version will be published on Turps Film’s website or supplied on request.

These Terms and Conditions are governed by the laws of England and Wales.
